EventSquare – Terms of Use

Introduction

At EventSquare, we strive to ensure smooth and transparent relationships with our Event Organisers. The following pre-contractual information and terms of sale aim to provide a clear overview of your rights – and, where applicable, your obligations.
If anything is unclear, we kindly invite you to inform us.

Please read these terms carefully before accepting them.

Definitions

In this agreement, the following terms, capitalised, shall have the meanings set out below:

  • Event Organiser: the party organising an Event and selling Tickets via the EventSquare platform.
  • Event: any organised activity, including but not limited to artistic, cultural, sporting or musical performances, theatre productions, concerts, B2B events, trade shows, seminars or meetings.
  • User: any natural or legal person making use of the platform for an Event.
  • EventSquare: the trade name of EventSquare BV (company number BE 0670.798.154), whose general terms always prevail.
  • Store: the EventSquare platform enabling Users to order and/or reserve Tickets.
  • Ticket: an access pass to an Event organised by an Event Organiser.
  • General Terms and Conditions: the terms governing the use of the platform.
  • Intellectual Property Rights: all intellectual property rights and related rights.
  • Location: the place(s) where the Event takes place.
  • Processing Fees: fees charged by EventSquare for use of the platform.

Article 1 – General Provisions

EventSquare BV, having its registered office at Kleinhoefstraat 5/76, 2440 Geel, Belgium, operates solely as a platform facilitating the sale of Tickets between Event Organisers and Users.

These Commercial Terms apply to every offer made by an Event Organiser on the platform and to every agreement concluded remotely via the platform between an Event Organiser and a User.

By creating an account and publishing an Event, the Event Organiser expressly accepts these Terms as well as the EventSquare General Terms and Conditions (B2C), to the exclusion of all other conditions, unless explicitly accepted in writing by EventSquare.

Article 2 – Price

All prices are stated in euros (EUR), excluding VAT, unless expressly stated otherwise.

EventSquare and the Event Organiser reserve the right to modify prices when required by law. During the validity period stated in the offer, prices shall not be increased, except in the event of changes to VAT rates.

Events whose prices are subject to fluctuations on the financial market may be offered with variable prices. Such dependency and the indicative nature of prices will be clearly stated in the offer.

Article 3 – Offer and Acceptance

Although EventSquare composes the offers on its platform with the greatest care, it is possible that the information provided is incomplete, contains material errors, or is not up to date.

EventSquare shall not be bound by obvious errors or mistakes. In the event of an error, EventSquare reserves the right to correct it, even after confirmation of an order. The User may then choose to cancel the purchase or confirm it at the corrected price or conditions.

EventSquare cannot be held liable for the unavailability of an Event, which remains the sole responsibility of the Event Organiser.

Article 4 – Payment

Users can pay their orders online via the platform using an external payment provider.

EventSquare receives the payment per order through its payment partner, deducts the agreed commission, and transfers the remaining amount to the Event Organiser. EventSquare subsequently issues an invoice marked “Paid”.

Invoices are payable within thirty (30) calendar days, unless stated otherwise. If payment is not received within this period, the Event Organiser shall be in default automatically and without prior notice.

Article 5 – Delivery and Performance of the Agreement

Tickets are delivered electronically and, unless otherwise agreed, within twenty-four (24) hours after receipt of the order.

Delivery times are indicative only and do not give rise to any right to compensation. EventSquare shall not be held liable for delays caused by third parties or by the Event Organiser.

Article 6 – Duration of the Agreement

These Terms apply for the duration necessary to perform the services, with a maximum term of one (1) year from the start of the agreement.

Either party may terminate the agreement subject to a notice period of fourteen (14) days.

Article 7 – Compliance with the Agreement

The Event Organiser warrants that the Events comply with the agreement, the specifications stated in the offer, reasonable standards of quality and usability, and the applicable legal and regulatory requirements in force at the time the agreement is concluded.

Article 8 – Sanctions for Non-Payment

In the event of non-payment, EventSquare reserves the right to suspend delivery of services or to terminate the agreement by operation of law and without prior notice.

Outstanding amounts may be increased by a fixed compensation of fifteen percent (15%) of the unpaid balance, with a minimum of €25 and a maximum of €1,500.

Article 9 – Exclusion of the Right of Withdrawal

The right of withdrawal may be excluded for:

  • service agreements relating to accommodation, where a specific date or period of performance is provided, other than for residential purposes;
  • agreements relating to leisure activities, where a specific date or period of performance is provided.

Article 10 – Privacy and Data Protection

EventSquare complies with the General Data Protection Regulation (GDPR) and Belgian legislation on the protection of personal data.

Only the personal data strictly necessary for the performance of the agreement are shared with the Event Organiser, who processes such data solely for that purpose and for no longer than required.

Article 11 – Partial Invalidity and Non-Waiver

If any provision of these Terms is declared invalid, illegal or unenforceable, this shall not affect the validity or enforceability of the remaining provisions.

Failure by EventSquare to enforce any right shall not be construed as a waiver of that right.

Article 12 – Amendments to the Terms

EventSquare reserves the right to amend these Terms at any time.

Any purchase made after an amendment constitutes acceptance of the amended Terms by the Event Organiser.

Article 13 – Complaints Procedure

Complaints regarding the performance of the agreement must be submitted within a reasonable time after the issue has been identified.

Complaints are answered within fourteen (14) days of receipt. If a longer processing time is required, the complainant will be informed accordingly.

Article 14 – Applicable Law and Jurisdiction

Belgian law shall apply, excluding rules of private international law.

In the event of a dispute, the courts of Antwerp shall have exclusive jurisdiction.
